Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern the provision of goods and services by HVACR Pty Ltd trading as ACRO Refrigeration Services (ABN 43 672 578 264) (“ACRO”, “we”, “us”, or “our”) to you, the client (“you” or “your”). By engaging our services or purchasing our products, you agree to be bound by these Terms.
2. Definitions
- Goods: Refers to all products supplied by ACRO, including but not limited to refrigeration units, parts, and accessories.
- Services: Encompasses all services provided by ACRO, including installation, maintenance, repair, and consultation.
- Quote: A written estimate provided by ACRO detailing the costs and scope of Goods and/or Services to be supplied.
- Site: The location where Goods are delivered or Services are performed.
3. Quotations and Orders
- Validity: All Quotes are valid for 30 days from the date of issuance unless otherwise specified.
- Acceptance: An order is deemed accepted upon written confirmation by you or upon commencement of Services or delivery of Goods by ACRO.
- Changes: Any changes to the scope of work must be agreed upon in writing by both parties.
4. Pricing and Payment
- Pricing: Prices are as stated in the Quote and are exclusive of GST unless specified.
- Payment Terms: Payment is COD unless alternative terms have been agreed upon in writing.
- Late Payments: Late payments may incur interest at a rate of 2% per month.
- Payment Methods: We accept payments via bank transfer, credit card, or other methods as agreed upon.
Product Pricing Disclaimer:
- All refrigeration equipment advertised for sale on our website is offered on a re-seller basis. Product descriptions and pricing are provided for informational purposes only and are subject to change without notice.
- Due to regular supplier price updates and market fluctuations, all prices listed on our website are indicative only. While we strive to maintain accurate and up-to-date pricing, we cannot guarantee the price displayed will be the final sale price.
- Final pricing will be confirmed upon enquiry or application, and is subject to availability, delivery charges, and any applicable GST. We reserve the right to revise or withdraw product offers at any time prior to confirmation of your order.

5. Delivery and Installation
- Delivery: Delivery dates are estimates only. ACRO is not liable for delays beyond our control.
- Installation: You are responsible for ensuring that the Site is prepared for installation, including providing necessary access and utilities.
6. Risk and Title
- Risk: Risk in Goods passes to you upon delivery.
- Title: Title in Goods remains with ACRO until full payment is received.
7. Warranties
- Goods: Goods supplied by ACRO are covered by manufacturer warranties as applicable.
- Services: ACRO warrants that Services will be performed with due care and skill.
- Exclusions: Warranties do not cover defects arising from misuse, neglect, or unauthorized modifications.
8. Limitation of Liability
- To the extent permitted by law, ACRO’s liability is limited to:
- In the case of Goods, replacement or repair of the Goods.
- In the case of Services, re-supply of the Services.
- ACRO is not liable for any indirect, incidental, or consequential damages.
9. Indemnity
You agree to indemnify and hold ACRO harmless against any claims, losses, or damages arising from your breach of these Terms or misuse of the Goods or Services.
10. Force Majeure
ACRO is not liable for any failure to perform obligations due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, or government restrictions.
11. Termination
- Either party may terminate the agreement with 14 days’ written notice.
- Upon termination, you must pay for all Goods delivered and Services performed up to the termination date.
12. Dispute Resolution
- In the event of a dispute, both parties agree to attempt resolution through good faith negotiations.
- If unresolved, disputes shall be referred to mediation before pursuing legal action.
13. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any legal proceedings shall be conducted in the courts of Queensland.
14. Privacy
ACRO collects and handles personal information in accordance with our Privacy Policy.
15. Amendments
ACRO reserves the right to amend these Terms at any time. Updated Terms will be published on our website and will take effect upon publication.
